NOTE: The following words used in context of the Special Promotion Package Agreement are defined as follows:

'"APOC", "we" and "our" means All Products Online Corporation
The "User", "you" and "your" means any person or entity using APOC Service.

APOC agrees to provide, and the User agrees to receive, access to the web site set up services according to the following terms and conditions. Please read this Agreement carefully before accessing or using the web site. By using the web site, you agree to be bound by the terms and conditions set forth below. APOC may modify this Agreement at any time, and such modification shall be effective immediately upon posting of the modified Agreement.

1. The contents of Submit Products package include:
   
   
   1. Five products promotion pages (English) e.g., http://www.allproducts.com/manufacture9/reco/
   2. One company profile page (English)
   3. Free credit of 100 points for 10 Inquiries.
      
      The User guarantees that your company and products information are all legal. APOC only provide only 10 free inquiries for your submission. After running out of points, the User will only receive notifications of incoming inquiries without the inquiry’s subject or contents.
      
      
2. For upgrading in the future:
   
   
   1. Silver Member: US$299 per year with the following statements:
      - 1 Company page and 15 Product pages
      - Search Result Marked with a symbol of "SILVER" in a Higher Ranking
      - Online Modification Tool
      - Inquiry immediate Alert / per year
   2. Golden Member: US$1280 per year with the following statements:
      - 10 Company pages and 25 Product pages.
      - Search Result Marked with a Symbol "Golden" in Top Ranking
      - Online Modification Tool
      - Inquiry immediate Alert / per year
      - Special Marketing Tools and Service
      
      
3. APOC service is provided on an “As Is” basis. APOC gives no warranty, expressed or implied for the Special Promotion Package service provided, including, without limitation, warranty of merchantability and warranty of fitness for a particular purpose. This no warranty expressly includes any reimbursement for losses of income due to disruption of service by APOC or its providers.
   
   
4. The User hereby agrees that any material submitted for publication on http://www.allproducts.com through User’s web site http://www.allproducts.com.tw/manufacture/[Your Company name] will not violate or infringe any copyright, trademark, patent, statutory, common law or proprietary rights of others, or contain anything libelous or harmful. Any potentially illegal activity may be deactivated without warning by APOC. The User hereby agrees to indemnify and hold harmless APOC for any claim resulting form the submission of illegal materials. No refunds will be given for accounts terminated for these reasons.
   
   
5. In the event it is necessary to refer any dispute to an attorney or resolve it in a court of law, the prevailing party will be entitled to reasonable attorney’s fees and all costs associated with any legal action, whether or not a suit shall actually be filed.
   
   
6. The entire contents of the web site www.allproducts.com including the URL: http://www.allproducts.com.tw/manufacture/[Your Company name] is copyrighted under the Republic of China copyright laws. The owner of the copyright is APOC---All Products Online Corporation. The User is prohibited to download and use parts or portions of the above mentioned web site repeatedly and forbidden to modify, publish, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, display, incorporate into another web site, mirror the site, or in any other way commercially exploit any of the content, information, materials or services found on the site, in whole or in part (including without limitation for comparative advertising purposes or to develop a competing web site or service offering). APOC will reserve the power of prosecution. The User may print and download portions of material from the URL: http://www.allproducts.com.tw/manufacture/[Your Company name] solely for your own noncommercial use. Any other copying, retransmission, or publication of any downloaded material is strictly prohibited without the express written consent of All Products Online Corporation. The User agrees to grant to APOC a non-exclusive, royalty-free, perpetual license, with the right to sublicense, reproduce, distribute, transmit, create derivative works of, publicly display, and publicly perform any materials and other information the User submits to public areas of the web site---www.allproducts.com (such as bulletin boards, forums, and news groups) by all means and in any media now known or hereafter developed. The User agrees that they shall have no recourse against APOC or its partners for any alleged or actual infringement or misappropriation of any proprietary right in your communications to us.
   
   
7. The User understands that APOC cannot and does not guarantee or warrant that files available for downloading through the Site will be free of infection or viruses, worms, Trojan horses, or other code that manifest contaminating or destructive ties. The User assumes total responsibility and risk for your use of the Site and the inter-net.
   
   
8. The User agrees to indemnify, defend, and hold harmless APOC and its partners and their officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorney’s fees, resulting from any violation of this Agreement or any activity related to your use of the web site (including negligent or wrongful conduct) by you.
   
   
9. The User’s participation in online communications occurs in real time and is not edited, censored, or otherwise controlled by APOC. APOC cannot and does not screen content provided by users of the web site. Notwithstanding the foregoing, APOC reserves the right to monitor content on the web site and to remove content which APOC, in its sole discretion, determines to be harmful, offensive, or otherwise in violation of these Policies. In order to maintain an informative and valuable service that meets the needs of the users of the web site and avoids the harm that can result from disseminating statement that are false, malicious, violate of the rights of others, or otherwise harmful, it is necessary to establish the following rules to protect against abuse:
   
   
   1. The User may not post or transmit any message anonymously or under a false name.
   2. The User may not post or transmit any message, data, image, or program that would violate the property rights of others, including unauthorized copyrighted text, images or programs, trade secrets or other confidential proprietary information, and trademarks or service marks used in an infringing fashion.
   3. The User may not post or transmit any message which is libelous, defamatory, or which discloses private or personal matters concerning any person. You may not post or transmit any message, data, image, or program which is indecent, obscene, or pornographic.
   4. The User may not interfere with other users of the web site www.allproducts.com.
   5. The User may not post or transmit any file which contains viruses, worms, “Trojan horses,” or any other contaminating or destructive features.
   6. The User may not post or transmit any message which is harmful, threatening, abusive, or hateful.
      
      
10. This Agreement cannot be terminated or cancelled within the period of agreement validity by either party, unless with or without cause with 30 days written notice to the other party. Changing domain name registration or the DNS settings in your domain name registration to another provider or cancellation of a domain name registration is not notice of cancellation. Notice must be sent to the email account service@allproducts.com.tw with the login and password associated with the account. Cancellation will not be completed until all charges are paid in full and proper notice is sent via email.
    
    
11. This Agreement shall all be governed and construed in accordance with the laws of the Republic of China. You agree that any legal action or proceeding between APOC and you for any purpose concerning this Agreement or the parties’ obligations hereunder shall be brought exclusively in a national court of competent jurisdiction sitting in the Republic of China. Any cause of action or claim you may have with respect to the web site must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. The failure of APOC to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. APOC may assign its rights and duties under this Agreement to any party at any time without notice to the User.
    
    
12. The provisions of this Agreement are for the benefit of APOC and its partners and their officers, directors, employees, agents, licensors, suppliers, and any third-party information providers to the web site. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

This Services Agreement is effective after the Users from both sides have executed the documents.
