1. Acceptance of Terms

   The Allproducts Online Corporation (“Allproducts.com”) agrees to provide, and the User agrees to receive, access to the web site set up services according to the following terms and conditions. Please read this Agreement carefully before accessing or using the web site. By using the web site, you agree to be bound by the terms and conditions set forth below. 3. Member Responsibilities

   To ensure the quality of Allproducts.com’s service, the User hereby represents, warrants and agrees to the abide by the following:

   1. You agree to provide true, accurate, complete and the most up to date information about yourself as requested by the service's registration form. Under no circumstances shall you repetitively register with the same information.

5. Account ID, Password and Security

6. Service disruption or Failure

   The service may sometimes be disrupted, causing data loss, error, as well as other losses. Allproducts.com does not resume responsibility for any losses that may cause by system disruptions.

7. Service Change

   allproducts.com reserves the right to change, upgrade, modify, limit or suspend the Service or any of its related functionalities or applications at any time temporarily or permanently without prior notice.

10. Limitation of Liability

    The User understands that allproducts.com service is provided on an “As Is” basis. Allproducts.com gives no warranty, expressed or implied for the Special Promotion Package service provided, including, without limitation, warranty of merchantability and warranty of fitness for a particular purpose. This no warranty expressly includes (a)this service is to the User’s satisfaction (b) any reimbursement for losses of income due to disruption of service by Allproducts.com or it providers. (c) The validity, accuracy, reliability, quality, stability , completeness or currentness of any information provided on or through the site., (d) the quality and safety of any product, service, information., (e) Any material downloaded or otherwise obtained through the use of the Service is done at each Member's sole discretion and risk and each Member is solely responsible for any damage to its computer system or loss of data that results from the download of any such material. No advice or information, whether oral or written, obtained by any Member from Allproducts.com or through or from the Service shall create any warranty not expressly stated in this Agreement.

    The User agrees to indemnify, defend, and hold harmless allproducts.com and its partners and their officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs including (a) the use or the inability to use the Service; (b) any defect in goods, samples, data, information or services purchased or obtained from a Member or a third-party service provider through the Site; (c) unauthorized access by third parties to data or private information of any Member; (d) statements or conduct of any user of the Site; or (e) any other matter relating to the Service however arising, including negligence.

11. Intellectual Property Rights

    Allproducts.com is the sole owner or lawful licensee of all the rights to the Service. The Service embodies trade secrets and intellectual property rights protected under worldwide copyright and other laws. All title, ownership and intellectual property rights in the Service shall remain with Allproducts.com or its affiliates. All rights not otherwise claimed under this Agreement or by Allproducts.com are hereby reserved. Allproducts.com and related icons and logos are registered trademarks or trademarks or service marks of Allproducts Online Corporation, and are protected under applicable copyright, trademark and other proprietary rights laws. The unauthorized copying, modification, use or publication of these marks is strictly prohibited.

    If you do not have the legal right to upload, publish information and therefore authorize a third party to share, download this information, please do not upload the information to Allproducts.com. The User agrees (1) to grant to the Allproducts.com a non-exclusive, royalty-free, perpetual license, with the right to sublicense, reproduce, distribute, transmit, create derivative works of, publicly display, and publicly perform any materials and other information the User submits to public areas of the web site---www.allproducts.com (such as bulletin boards, forums, and news groups) by all means and in any media now known or hereafter developed. (2) The User hereby agrees that any material submitted for publication on Allproducts.com will not violate or infringe any copyright, trademark, patent, statutory, common law or proprietary rights of others, or contain anything libelous or harmful. Allproducts.com reserve the power of prosecution.

12. Indemnity

    The User agrees to indemnify, defend, and hold harmless allproducts.com and its partners and their officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorney’s fees, resulting from any violation of this Agreement or any activity related to your use of the web site (including negligent or wrongful conduct) by you.

13. Non-Commercial Use

    The User is prohibited to download and use parts or portions of the above mentioned web site repeatedly and forbidden to modify, publish, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, display, incorporate into another web site, mirror the site, or in any other way commercially exploit any of the content, information, materials or services found on the site, in whole or in part for commercial use.

14. Termination of Service

    Allproducts.com reserves the right to change, upgrade, modify, limit or suspend the Service or any of its related functionalities or applications at any time temporarily or permanently without prior notice. The Service may be terminated for and not limited to, User fraud, unpaid fees, court/government orders, or any illegal actions condone by the User. The User hereby agrees that in no event shall Allproducts.com be liable to the User or any third parties for any inability to use the Service.

15. The Terms of Service constitutes the entire agreement between you and allproducts.com and govern your use of the Service.

    This Agreement shall all be governed and construed in accordance with the laws of the Republic of China. The User agrees that any legal action or proceeding between Allproducts.com and you for any purpose concerning this Agreement or the parties’ obligations hereunder shall be brought exclusively in a national court of competent jurisdiction sitting in the Republic of China.
